Terms of Service

These Terms of Service (“Terms”) form a binding agreement between you and Quoinlock (“Quoinlock,” “we,” “us,” or “our”) governing access to and use of isbn.link (GS1 Digital Link for Publishers) including the website, publisher portal, resolver, APIs, barcode tools, hosted product pages, and related services (the “Service”). By creating an account, accessing the API, or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and “you” includes that organization.

1. The Service

isbn.link provides tools for book publishers and related organizations to manage GTIN/ISBN-bound GS1 Digital Links, configure destinations and policies, generate barcodes, view scan analytics, use enterprise APIs, and optionally serve hosted product information pages. Features available to you depend on your plan and configuration.

We may modify, add, or remove features; impose reasonable usage limits; and change plan packaging. We will endeavor to provide notice of material reductions in core paid functionality.

2. Accounts and eligibility

You must provide accurate registration information and keep it updated. You are responsible for all activity under your account, including actions by team members you invite and systems using your API keys.

You must be at least 18 years old (or the age of majority where you live) and able to form a binding contract. The Service is intended for business and professional publishing use, not for consumers as a personal short-link toy.

You must safeguard passwords, passkeys, OTP devices, session cookies, and API secrets. Notify us promptly of unauthorized access. We may require multi-factor authentication for certain actions.

3. Plans, fees, and taxes

Free, paid, and enterprise tiers may offer different limits (e.g. catalog size, custom domains, seats, retention, support). Fees for paid plans, if any, are as stated at purchase or in an order form. Unless otherwise agreed in writing, fees are non-refundable except as required by law.

You are responsible for applicable taxes. If we are required to collect tax, we may add it to your invoice. Failure to pay may result in suspension or termination of paid features.

Enterprise agreements, data processing agreements (DPAs), or SLAs signed separately control over these Terms to the extent of conflict for the parties to those agreements.

4. Your content and licenses

“Customer Content” means data, text, images, URLs, ONIX/CSV files, identifiers, and other materials you or your users submit to the Service, including bibliographic metadata and cover images.

You retain ownership of Customer Content. You grant Quoinlock a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, display, and create technical copies of Customer Content solely to operate, secure, and improve the Service, including serving covers, hosted product pages you enable, linksets, and resolution responses.

You represent and warrant that: (a) you have all rights necessary to submit Customer Content and to grant the license above; (b) Customer Content and your destinations do not infringe third-party rights or violate law; and (c) you will not upload malware or content you are not authorized to distribute.

5. Industry metadata and covers

Optional features may retrieve bibliographic records or cover images from third-party industry sources on your behalf. Your use of those features must comply with the source provider’s terms and any license restrictions. We do not guarantee accuracy, completeness, or continued availability of third-party metadata.

You remain responsible for reviewing imported data before publishing destinations or public pages. Marketing copy, prices, and rights information can change; you should keep your catalog current.

6. Acceptable use

You will not, and will not allow others to:

  • Use the Service for phishing, scams, malware distribution, illegal content, or infringement of intellectual property or privacy rights.
  • Configure destinations or hosted pages that deceive consumers about identity, price, safety, or affiliation.
  • Attempt to probe, scan, or test the vulnerability of the Service except under a coordinated disclosure arrangement we approve; reverse engineer except where non-waivable law permits.
  • Bypass rate limits, quotas, authentication, or access controls; mine or scrape the Service in a way that degrades performance.
  • Resell, white-label, or provide the Service to third parties as your own resolver platform except under a written partner agreement.
  • Use the Service to process data for which you lack a lawful basis or required notices/consents.
  • Interfere with other customers’ use or with GS1 compliance endpoints (including public resolver description files) in a harmful way.

We may investigate violations and suspend or terminate access, remove content, or block destinations that create risk to users or the platform.

7. Resolution, destinations, and hosted pages

You control destination URLs, schedules, fallbacks, and (where enabled) hosted product page themes and content. You are solely responsible for the accuracy and legality of destinations and for ensuring that consumer-facing pages and offers comply with advertising, consumer protection, and accessibility laws that apply to you.

Digital Link resolution depends on correct GTIN/ISBN data, network conditions, and third-party sites remaining available. We are not liable for dead links, incorrect ISBN claims, or third-party site outages, though paid plans may include health monitoring features to help you detect problems.

Hosted product pages are templates filled from your catalog and imported metadata. They are not a full marketing CMS. Branding footers identifying isbn.link / Quoinlock may appear on hosted pages.

8. APIs, keys, and automation

If you use APIs, you must keep keys confidential, rotate them if compromised, and use only documented endpoints within plan limits. We may throttle or revoke keys that threaten platform stability or violate these Terms.

Webhooks and automated jobs you configure are your responsibility, including securing endpoints that receive events.

9. Custom domains

Custom resolver domains require DNS configuration and verification you control. You must own or be authorized to use any domain you connect. SSL/TLS provisioning depends on third-party certificate infrastructure and correct DNS. We may remove domain associations that fail verification, expire, or are used abusively.

10. Intellectual property

The Service—including software, design, documentation, and Quoinlock / isbn.link trademarks—is owned by Quoinlock and its licensors. These Terms do not grant you any right to our marks except limited use to identify that you use the Service (e.g. “Powered by isbn.link”) in a factual manner that does not imply endorsement of your titles.

Feedback you provide may be used by us without obligation to you.

11. Confidentiality

Non-public features, pricing proposals, security information, and unpublished documentation shared with you are our confidential information. Customer Content is your confidential information, except content you make public via resolution or hosted pages. Each party will use reasonable care to protect the other’s confidential information and use it only as needed under these Terms, except where disclosure is required by law (with notice where legally permitted).

12. Third-party services

The Service may interoperate with third-party DNS, payment, email, hosting, and industry data providers. Your use of third-party services is subject to their terms. We are not responsible for third-party services we do not control.

13. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, QUOINLOCK DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT METADATA, COVERS, OR ANALYTICS WILL BE ACCURATE OR COMPLETE.

GS1 compliance depends on correct configuration and evolving standards. You are responsible for validating packaging and commercial claims with your advisors and GS1 member organizations as needed.

14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, QUOINLOCK AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, WHETHER BASED IN CONTRACT, TORT, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IN ANY TWELVE-MONTH PERIOD WILL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID US FOR THE SERVICE IN THAT PERIOD, OR (B) ONE HUNDRED U.S. DOLLARS (US $100) IF YOU USE ONLY FREE FEATURES.

Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted.

15. Indemnification

You will defend, indemnify, and hold harmless Quoinlock and its affiliates, officers, and employees from and against any claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) Customer Content or destinations; (b) your use of the Service in violation of these Terms or law; (c) disputes between you and end users, retailers, or rights holders; or (d) your infringement of third-party rights.

16. Suspension and termination

You may stop using the Service at any time and may request account deletion subject to our Privacy Policy.

We may suspend or terminate access immediately if you breach these Terms, create security or legal risk, fail to pay fees, or if we discontinue the Service. Upon termination, your right to use the Service ends; provisions that by nature should survive (ownership, disclaimers, liability limits, indemnity) will survive.

We may export or allow export of catalog data for a reasonable period after termination where technically feasible; we are not obligated to retain Customer Content indefinitely after deletion.

17. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, USA, excluding conflict-of-law rules, unless a written enterprise agreement specifies otherwise. Exclusive venue for disputes lies in the state or federal courts located in Delaware, and you consent to personal jurisdiction there, except that we may seek injunctive relief in any jurisdiction.

Before filing a claim, you agree to try to resolve the dispute informally by contacting legal@quoinlock.com and allowing 30 days for a response.

IF YOU ARE A CONSUMER IN A JURISDICTION THAT PROHIBITS THESE VENUE OR LAW CHOICES, MANDATORY LOCAL CONSUMER PROTECTIONS STILL APPLY.

18. General

These Terms are the entire agreement between you and us regarding the Service, superseding prior or contemporaneous agreements on the same subject, except signed enterprise orders, DPAs, or SLAs.

If any provision is unenforceable, the remainder stays in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Notices may be sent to your account email or posted in the portal.

We may update these Terms by posting a revised version with a new effective date. Material changes will be communicated reasonably in advance when practicable. Continued use after the effective date constitutes acceptance.

Nothing in these Terms creates a partnership, joint venture, or employment relationship. There are no third-party beneficiaries except as expressly stated for indemnified parties.
